these terms, You represent and warrant to Applicant Tree that You have reached the

capacity to agree to and abide by these terms.

Upon your purchase of a product offered by the Company, You are authorized to download
a single copy of the material from the Company's Web sites solely for your own
personal, noncommercial use.
The contents of the Web sites, such as text, graphics, images, logos, button icons, software and other content (the "Material"), are protected under United States and foreign copyright, trademark and other laws. All Material is the property of the Company or its content suppliers or clients. You are solely responsible for your User account information, employer account
information or job postings. You agree that in submitting User content or otherwise
using any Applicant Tree site that you will not impersonate anyone, or submit any
materials that are false, inaccurate, misleading, unlawful or otherwise in violation
of your obligations under these terms.
By posting content to any public area of any Applicant Tree Web site, You automatically grant to Applicant Tree and its affiliates an irrevocable, royalty-free, perpetual, fully paid non-exclusive right and worldwide license to use, copy, reproduce, modify, adapt, publish, translate, communication to the public, perform display and distribute such content, in whole or in part, and to prepare derivative works of, or incorporate into other works (in any form) such User content, and to grant and authorize sublicenses thereof (through multiple tiers). You also represent and warrant that You have the right to grant or that the holder of any rights has completely and effectively waived all such rights and validly and irrevocably granted to You the right to grant the license stated above. Applicant Tree acts as a passive conduit for the online distribution and publication of User content and has no obligation to screen User content, communications or information in advance and is not responsible for screening or monitoring User content posted by Users. However, Applicant Tree may review and remove any content that, in its sole judgment, violates these terms or applicable laws, or violates the rights of or harms/threatens the safety of any Applicant Tree Users. | Applicant Resumes And Interviews | |

Each candidate made available through the Applicant Tree Web site has completed a
résumé that includes specific questions regarding employment, education and more, and
has also been personally interviewed. That said, the results of such interviews are
not evaluated by Applicant tree and should be evaluated by each employer according to
each employer's specific criteria. Resumes, profiles and/or interviews do not
guarantee performance results or capture all criteria that may be relevant to an
employer in making employment decisions. Applicant Tree does not independently verify
the information provided by candidates or the identity of candidates.

| Applicant Cash Earnings | |

After completing their profile on Applicant Tree, applicants are screened over the
telephone to determine the value of their résumé, an amount ranging from $15 to $100.
As soon as their basic work history, education and qualifications are complete, their
résumé will go live and be searchable by employers. If an employer wishes to contact
an applicant for an interview, the candidate résumé can be purchased and the applicant
receives half of that amount. The more employers purchasing information, the more an
applicant can earn.
Applicants also earn $5 each time they refer a new Applicant Tree member whose résumé is purchased by an employer. Applicant Tree reserves the right to change the amount of, or basis for determining, any cash payments, and to institute a new payment structure without any prior notice. | |
| Employer Fees And Payments | |

Applicant Tree may charge fees to Employers for services offered the Web site, and/or
for access to portions of the Web site or the Web site as a whole. Employers agree to
pay all fees and charges, including applicable taxes, incurred through their account
at the rates in effect for the billing period in which such fees and charges are
incurred, including but not limited to charges for any services offered for sale
through the Web site by Applicant Tree (such fees, charges and taxes shall
collectively be referred to as "Fees"). Applicant Tree reserves the right to change
the amount of, or basis for determining, any Fees, and to institute new fees without
any prior notice.
If You submit Your credit, debit or charge card information to Applicant Tree upon registration or otherwise, You give Applicant Tree permission to charge all fees incurred through your account to the credit, debit or charge card You designate. Any additional fees (other than normal usage fees) will be charged at the time they are incurred. If payment cannot be charged to Your credit, debit or charge card or Your payment is returned to Applicant Tree for any reason, including charge back, Applicant Tree reserves the right to either suspend or terminate Your account and all its obligations under this Agreement. Refunds are handled on a case-by-case basis by the account executive assigned to each employer account. Refund requests must be made to the appropriate account executive within 30 days of the billing date, or the employer may forfeit any recompense. | |

User Information (Privacy Statement) When you contact the Company, you may be asked to provide the Company with certain information including, without limitation, a valid e-mail address (your "Information"). Please review the Privacy Policy, the terms of which are incorporated here by reference, found on the Web sites to understand how the Company uses your information. You understand and acknowledge that You have no ownership rights in your Applicant Tree account, and that if You cancel your account, all information from Applicant Tree will be marked as deleted in Applicant Tree's databases and will be removed from any public area of the Applicant Tree Web site. Information may be available for some period of time due to delays in propagating such deletion through Applicant Tree's Web servers. Disclaimer of Consequential Damages In no event shall the company, its suppliers or any third parties mentioned on the Web sites be liable for any damages whatsoever (including, without limitation, incidental and consequential damages, lost profits or damage resulting from lost data or business interruption) resulting from the use or inability to use the Web sites and Materials, whether based on warranty, contract, tort or any other legal theory, and whether or not the Company is advised of the possibility of such damages. | |

Any such revision or change will be binding and effective immediately after posting of the revised Agreement or change to the service(s) on the Company's Web sites. You agree to periodically review our Web sites, including the current version of this Agreement available on our Web sites, to be aware of any such revisions. Any fees paid by You if You terminate your Agreement with the Company are nonrefundable. By continuing to use the Company's services after any revision to this Agreement or change in services, including employer fees or applicant payments, You agree to abide by and be bound by any such revisions or changes. The Company is not bound by nor should You rely on any representation by (i) any agent, representative or employee of any third party that You may use to apply for our services; or (ii) information posted on our Web sites of a general informational nature. No employee, contractor, agent or representative of the Company is authorized to alter or amend the terms and conditions of this Agreement. | |

General Terms The Company makes no claims that the Materials may be lawfully viewed or downloaded in your jurisdiction.
